These Terms of Use (“Terms”) govern your access to and use of the Maiqa website, downloads, documentation, licensing tools, and the Maiqa plugin for Adobe Photoshop (“Maiqa”, “the plugin”, “we”, “us”, or “our”).

Maiqa is a Photoshop plugin designed to help users generate and edit images through supported third-party AI providers. By purchasing, downloading, installing, or using Maiqa, you agree to be bound by these Terms. If you do not agree, do not use the website or the plugin.

1. Scope of the Service

These Terms apply to:

  • our website and related pages;
  • downloads, documentation, licensing, and support materials;
  • your installation and use of the Maiqa plugin inside Adobe Photoshop.

Maiqa is software only. It is not an image generation service by itself and does not include built-in usage credits for third-party AI providers unless explicitly stated at checkout.

2. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to use Maiqa. If you use Maiqa on behalf of a company, studio, or other organization, you represent that you have authority to accept these Terms on its behalf.

You are responsible for ensuring that your use of Maiqa complies with all applicable laws, regulations, platform rules, and third-party terms that apply to your workflow.

3. Third-Party Software and Services

Maiqa works within Adobe Photoshop and may connect to supported third-party AI providers and related services. These third parties may include, for example, Adobe, Replicate, Fal.ai, Google AI Studio or other Google services, Creem as our merchant of record and checkout provider, hosting services, and email or infrastructure tools used to operate the website and licensing workflow.

Third-party services are governed by their own terms, privacy policies, content rules, billing conditions, technical limits, and availability. We do not control those services and are not responsible for outages, pricing changes, content policies, retention practices, output restrictions, account suspensions, or any other action taken by a third party.

You are responsible for reviewing and complying with the terms of any third-party service you choose to use with Maiqa.

4. License Grant

Subject to your compliance with these Terms and payment of any applicable fee, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Maiqa for your own personal or professional use.

This license allows you to use the plugin as intended inside Adobe Photoshop. The license does not transfer ownership of the software, source code, branding, website content, or any underlying intellectual property.

Single-user license

Unless expressly stated otherwise at the time of purchase, a Maiqa license is intended for one individual user only. The license may not be shared across multiple users, teams, departments, or organizations.

Activation limit

Maiqa uses license activation and validation mechanisms. Unless otherwise specified by us, the license is limited to one active activation at a time. If you move to another device, you may need to deactivate the previous installation before activating the new one.

5. What You May and May Not Do

You may use Maiqa only in a lawful manner and only as intended. You may not:

  • copy, resell, sublicense, rent, lease, distribute, or commercially exploit Maiqa as software;
  • share your license key with other users or allow multiple people to use one license;
  • reverse engineer, decompile, disassemble, modify, or attempt to derive the source code of Maiqa, except where applicable law expressly permits it;
  • remove, alter, or hide copyright notices, product names, branding, or license controls;
  • bypass, disable, or interfere with activation, validation, update, or security mechanisms;
  • use Maiqa in violation of applicable law, third-party rights, or the rules of the providers you connect to;
  • use Maiqa to facilitate harmful, abusive, fraudulent, infringing, or illegal activity.

6. API Keys, Provider Accounts, and External Fees

To use image generation or image editing features, you may need your own account, API key, billing setup, or credits with one or more supported providers. Those third-party accounts are your responsibility.

  • Maiqa itself is sold separately from provider usage fees.
  • Provider charges, credits, subscriptions, or pay-as-you-go usage are billed by the provider, not by Maiqa, unless explicitly stated otherwise.
  • You are responsible for keeping your provider credentials secure and for all activity that occurs through your accounts or API keys.
  • You are responsible for checking model availability, provider pricing, and output policies before use.

7. Purchases, Pricing, and Refunds

Maiqa is offered as a digital software product. Prices may be displayed on our website or at checkout and may change at any time for future purchases. Any pricing change does not retroactively affect a completed purchase.

Unless otherwise stated at checkout, a Maiqa purchase is a one-time payment for the software license itself. It does not include third-party API usage, provider credits, or external subscription fees.

Purchases of Maiqa are processed through Creem, which acts as Merchant of Record for the transaction. In that role, Creem handles checkout, payment processing, invoicing, and the collection and remittance of applicable sales tax or VAT.

Because Maiqa is a digital product delivered electronically, all sales are generally final once the license key or download has been delivered, except where a refund is required by applicable consumer law or where we choose to grant one at our discretion.

Any refund request should be made promptly and must include enough detail for us to review the issue. Refund eligibility is determined by us in accordance with these Terms, applicable law, and the procedures available through Creem. Where a refund is approved or legally required, it will be processed through Creem.

8. Updates, Changes, and Availability

We may provide updates, bug fixes, compatibility changes, documentation updates, or improvements at our discretion. We may also add, remove, or change supported providers, models, features, limits, and workflows over time.

Nothing in these Terms guarantees that any specific provider, model, feature, or integration will remain available indefinitely. Continued compatibility may depend on Adobe, third-party providers, operating systems, APIs, licensing systems, or other factors outside our control.

Some functions of Maiqa, including activation and provider requests, may require an internet connection.

9. User Content, Prompts, Images, and Output

You are responsible for all text prompts, images, reference files, masks, selections, edits, and other content you submit through Maiqa (“Input”), and for any images or other results generated through external providers (“Output”).

You represent and warrant that you have all necessary rights, permissions, and legal authority to submit your Input and use the Output.

  • You retain whatever rights you already have in your Input.
  • Your rights in Output, if any, depend on applicable law and the terms of the third-party provider that generated it.
  • We do not guarantee that any Output is unique, protectable, non-infringing, merchantable, accurate, or fit for commercial use.
  • You are solely responsible for reviewing Output before using, publishing, licensing, printing, or delivering it to clients.

10. Acceptable Use

You agree not to use Maiqa or the website to:

  • infringe copyrights, trademarks, privacy rights, publicity rights, or other third-party rights;
  • generate or edit content in a way that is unlawful, defamatory, fraudulent, exploitative, or abusive;
  • submit content that you are not legally allowed to process;
  • circumvent provider restrictions, safety systems, or platform rules;
  • interfere with the operation, security, or availability of the website, licensing systems, or plugin functionality.

We may suspend support, revoke access to downloads, or disable license use where reasonably necessary to address abuse, fraud, security threats, legal risk, or violations of these Terms.

11. Intellectual Property

Maiqa, the website, branding, documentation, interface design, code, copy, graphics, and related materials are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Except for the limited license expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

12. Support

We may offer documentation, email support, troubleshooting assistance, or update notices, but we do not guarantee any specific support level, response time, or ongoing maintenance obligation unless explicitly stated by us.

To help diagnose issues, we may ask you to share relevant technical details, screenshots, or diagnostics. Do not send confidential material unless necessary, and avoid sending content you are not authorized to disclose.

13. Disclaimer of Warranties

Maiqa, the website, downloads, and related materials are provided on an “as is” and “as available” basis, to the fullest extent permitted by law.

We disclaim all warranties, express or implied, including without limitation any warranty of:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • continuous availability;
  • compatibility with every environment or workflow;
  • accuracy, quality, legality, or commercial usability of third-party model outputs.

We do not warrant that Maiqa will be error-free, uninterrupted, secure, or compatible with all future versions of Photoshop, operating systems, providers, or model APIs.

14. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, goodwill, or client work arising out of or related to your use of Maiqa or the website.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to Maiqa, the website, or these Terms shall not exceed the amount you paid for Maiqa in the twelve (12) months preceding the event giving rise to the claim, or the amount paid for the specific license at issue if lower.

You remain responsible for backing up your files, verifying your results, checking generated content before use, and protecting your own devices, accounts, credentials, and production environment.

15. Suspension and Termination

We may suspend or terminate your access to Maiqa, downloads, updates, or license-related services if you materially breach these Terms, engage in abuse or fraud, create security or legal risk, or use the software in a way that harms us, other users, or third parties.

Upon termination, your right to use Maiqa ends immediately. Sections that by their nature should survive termination, including intellectual property, disclaimers, liability limitations, and dispute-related provisions, will continue to apply.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date on this page. Your continued use of Maiqa or the website after updated Terms become effective constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws applicable to the seller of Maiqa, excluding conflict-of-law rules, unless mandatory consumer protection law in your place of residence provides otherwise.

Where legally permitted, disputes relating to these Terms or the use of Maiqa shall be submitted to the competent courts of the seller’s place of establishment, unless mandatory law requires a different forum.
